These Terms of Service ("Terms") govern your access to and use of the AxisAI platform, software, and related services (collectively, the "Services") provided by AxisAI, Inc. ("AxisAI," "we," "us," or "our").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
1. Acceptance and Modifications
We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through a prominent notice in our Services. Your continued use of the Services after such modifications constitutes acceptance of the updated Terms. We recommend reviewing these Terms periodically.
2. Account Registration and Security
2.1 Account Creation
To use our Services, you must create an account by providing accurate, complete, and current information. You must be at least 18 years old to create an account.
2.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or security breach
- Using strong passwords and enabling multi-factor authentication when available
2.3 Organizational Accounts
For enterprise or team accounts, your organization's administrator has control over your account and may access, monitor, modify, or delete your data in accordance with your organization's policies.
3. Acceptable Use
3.1 Permitted Use
You may use our Services only for lawful business purposes in accordance with these Terms and all applicable laws and regulations.
3.2 Prohibited Activities
You agree NOT to:
- Violate any laws, regulations, or third-party rights
- Upload malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to our systems or networks
- Interfere with or disrupt the integrity or performance of the Services
- Reverse engineer, decompile, or disassemble any part of the Services
- Use the Services to transmit spam, phishing attempts, or fraudulent content
- Scrape, harvest, or collect user data without authorization
- Resell, lease, or provide the Services to third parties without written permission
- Remove, obscure, or alter any proprietary notices or branding
- Use the Services to develop competing products or services
4. AI and Data Processing
4.1 AI-Generated Content
Our Services use artificial intelligence to generate insights, recommendations, summaries, and other content. AI-generated content is provided for informational purposes only and should not be relied upon as the sole basis for business decisions. You are responsible for reviewing and validating all AI outputs before taking action.
4.2 Data Processing for AI
By using our Services, you grant us permission to process your data (including meeting recordings, project information, and usage data) to train and improve our AI models. We implement safeguards to protect your data, including anonymization and access controls. For more details, see our Privacy Policy.
4.3 Accuracy and Liability
While we strive for accuracy, we do not guarantee that AI-generated content will be error-free, complete, or suitable for your specific needs. We are not liable for decisions made based on AI outputs.
5. Intellectual Property
5.1 Our IP Rights
AxisAI retains all rights, title, and interest in the Services, including all software, algorithms, trademarks, logos, and proprietary technology. These Terms do not grant you any ownership rights in our intellectual property.
5.2 Your Data
You retain all rights to the data you input into the Services ("Customer Data"). By using our Services, you grant us a limited license to use, store, process, and display your Customer Data solely to provide and improve the Services. We do not claim ownership of your Customer Data.
5.3 Feedback
If you provide feedback, suggestions, or ideas about our Services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback without any obligation to you.
6. Payment and Subscriptions
6.1 Fees
Access to certain features may require payment of subscription fees. All fees are non-refundable unless otherwise stated in writing or required by law. Prices are subject to change with 30 days' notice.
6.2 Billing
Subscription fees are billed in advance on a recurring basis (monthly or annually). You authorize us to charge your payment method on file. If payment fails, we may suspend or terminate your access to the Services.
6.3 Cancellation
You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. You will continue to have access to paid features until that date.
7. Privacy and Data Protection
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We are committed to protecting your data in accordance with applicable privacy laws, including GDPR, CCPA, and other regulations.
8. Service Availability and Support
8.1 Uptime
We strive to maintain 99.9% uptime for our Services, excluding scheduled maintenance. We do not guarantee uninterrupted access and are not liable for service disruptions beyond our reasonable control.
8.2 Maintenance
We may perform scheduled or emergency maintenance that temporarily interrupts access to the Services. We will provide advance notice when possible.
8.3 Customer Support
Support is provided via email and in-app chat during business hours. Enterprise customers may have access to dedicated support channels as specified in their agreements.
9. Warranties and Disclaimers
9.1 As-Is Basis
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.
9.2 No Guarantee
We do not warrant that the Services will meet your requirements, be error-free, secure, or available at all times. You use the Services at your own risk.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AXISAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
11. Indemnification
You agree to indemnify, defend, and hold harmless AxisAI, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any rights of a third party, or (d) your Customer Data.
12. Termination
12.1 By You
You may terminate your account at any time by contacting us or using the account deletion feature in your settings.
12.2 By Us
We may suspend or terminate your access to the Services at any time for: (a) violation of these Terms, (b) non-payment of fees, (c) fraudulent or illegal activity, or (d) prolonged inactivity. We will provide notice when reasonable.
12.3 Effect of Termination
Upon termination, your right to use the Services immediately ceases. We will delete your Customer Data within 90 days unless legally required to retain it. Sections of these Terms that should survive termination (including payment obligations, intellectual property, disclaimers, and limitations of liability) will remain in effect.
13. Dispute Resolution
13.1 Informal Resolution
Before filing a claim, you agree to contact us at contact@emotionai.me to attempt to resolve the dispute informally. We will work with you in good faith to reach a resolution within 30 days.
13.2 Arbitration
If informal resolution fails, any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. Arbitration will take place in San Francisco, California, USA. You and AxisAI waive the right to a jury trial or class action.
13.3 Exceptions
Either party may seek injunctive relief in court for intellectual property infringement or violation of confidentiality obligations.
14. Governing Law
These Terms are governed by the laws of the State of California, USA, without regard to its conflict of laws principles. Any legal action not subject to arbitration must be brought in the state or federal courts located in San Francisco County, California.
15. General Provisions
15.1 Entire Agreement
These Terms, along with our Privacy Policy and any applicable order forms or agreements, constitute the entire agreement between you and AxisAI regarding the Services.
15.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
15.3 Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
15.4 Assignment
You may not assign or transfer these Terms without our written consent. We may assign these Terms to any affiliate or successor without restriction.
15.5 Force Majeure
AxisAI is not liable for any failure or delay in performance due to events beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or infrastructure failures.
